1.0 Acceptance of Terms
1.1 Binding Agreement: By purchasing, installing, or accessing the POS Pharmacy software platform (including desktop, web, or cloud modules) operated by PAHINV, you agree to comply with and be bound by these Terms and Conditions.
1.2 Entity Authorization: If you are entering into this agreement on behalf of a pharmacy entity, hospital, or corporate dispensary chain, you represent that you hold legitimate legal authority to bind that entity.
2.0 Software Licensing Models
2.1 Offline Setup (One-Time Perpetual License): The Offline license grants a perpetual, non-exclusive license to operate the software on a single counter workstation at a single physical dispensary location. It operates 100% locally with zero mandatory recurring monthly charges.
2.2 Online Setup (Cloud Multi-Branch Subscription): The Online license is billed on a recurring monthly or annual basis. It includes dedicated cloud subdomain routing, daily automated encrypted cloud backups, multi-device access, and central warehouse stock synchronization.
2.3 License Transfer: Licenses are registered to a specific pharmacy legal entity. Transferring a software license to a separate entity or unrelated premises requires prior written consent from PAHINV.
3.0 Hardware Kit & Warranty Terms
3.1 1-Year Replacement Warranty: All POS counter hardware items supplied by POS Pharmacy (thermal receipt printers, barcode scanners, cash drawers, and counter displays) carry a full 1-year replacement warranty against manufacturing faults.
3.2 Technical Dispatch: In the event of a verified component failure during ordinary commercial dispensary operations, our technical support service provides on-site dispatch or immediate unit replacement.
3.3 Warranty Exclusions: Hardware coverage does not apply to damages resulting from electrical surges without surge protection, accidental drops, liquid spills, unauthorized disassembly, or physical abuse.
4.0 Regulatory & Prescription Compliance
4.1 Licensee Responsibility: POS Pharmacy provides computational tools for batch inventory, expiration alerts, and prescription record-keeping. The licensed pharmacy and dispensing pharmacist remain exclusively responsible for validating authentic medical prescriptions and complying with National Medicines Regulatory Authority (NMRA) and pharmacy board regulations.
4.2 Tax & Invoicing Compliance: The pharmacy is responsible for setting and verifying accurate tax rates, VAT numbers, and mandatory statutory details on printed receipts.
5.0 Prohibited Uses & Restrictions
5.1 Reverse Engineering: Licensees shall not decompile, reverse-engineer, modify, duplicate, or extract underlying source code or proprietary database schemas of the software.
5.2 Unauthorized Key Sharing: Sub-licensing, renting, leasing, distributing unauthorized activation keys, or bypassing software license validation mechanisms is strictly prohibited and constitutes grounds for immediate license termination.
5.3 Illicit Trade: The system may not be utilized to manage, record, or facilitate unlicensed or contraband pharmaceutical distributions.
6.0 Limitation of Liability
6.1 Operational Continuity: To the maximum extent permitted under applicable law, PAHINV shall not be held liable for indirect, incidental, or consequential damages resulting from local hardware power loss, unbacked data loss on offline terminals, or third-party internet service provider interruptions.
6.2 Aggregate Cap: In any circumstance, the aggregate liability of PAHINV for claims arising under these terms shall not exceed the total fees paid by the customer for the software license during the preceding twelve (12) months.
7.0 Governing Law & Inquiries
7.1 Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.
